These Terms of Use ("Terms") govern your access to and use of winkinghome.com (the "Site") operated by Winking Home ("we", "us", or "our"), a B2B manufacturer and exporter of professional cleaning brushes headquartered at No.899, Tiantong North Road, Ningbo, People's Republic of China.
By accessing the Site, submitting an inquiry, or otherwise using our services, you agree to be bound by these Terms. If you do not agree, do not use the Site. These Terms apply in addition to any separate written commercial agreement you may have with us; in the event of a conflict, the written commercial agreement prevails.

This Site is intended exclusively for business professionals — including purchasing managers, distributors, importers, agents, and trade buyers — who are at least 18 years of age and have the legal capacity to enter into binding commercial agreements on behalf of their organisation. By using the Site you represent and warrant that you meet these requirements.
This Site is not directed at retail consumers or individuals acting in a personal capacity. We do not knowingly collect information from, or provide services to, individuals under the age of 18.

The "Winking Home" name and logo are trademarks of Winking Home. You may not use our trademarks, logos, or trade dress without our prior written consent.
You are granted no intellectual property rights by accessing the Site. You may view and print a reasonable number of pages of the Site solely for your own internal business evaluation purposes, provided that you retain all copyright and other proprietary notices. Any other reproduction, distribution, modification, or creation of derivative works is prohibited without our prior written permission.
Product descriptions, specifications, dimensions, certifications, and images on the Site are provided for general reference only. While we make reasonable efforts to keep information current and accurate, we do not warrant that any product description or specification is error-free, complete, or up to date. No prices are published on the Site. All pricing is provided upon individual inquiry, is quoted in the currency specified in the Proforma Invoice, and is subject to change without notice until confirmed in a signed commercial document.
Submitting an inquiry or contact form on this Site constitutes an expression of interest only — it does not create a purchase order, binding offer, or contract of any kind. No commercial obligation arises between you and Winking Home until both parties have executed a written Proforma Invoice (PI) or formal purchase contract, and any required deposit has been received.
We reserve the right to decline any inquiry, refuse to issue a quotation, or cancel an order at our sole discretion, including but not limited to cases involving export control restrictions, sanctions compliance, or capacity constraints.
All sales are subject to our standard export terms (FOB Ningbo or as otherwise specified in the PI). In the event of any conflict between these Terms and the terms of a signed PI or purchase contract, the PI or purchase contract shall prevail.
If you submit ideas, suggestions, or feedback about our products or services ("Feedback"), you grant Winking Home a worldwide, royalty-free, perpetual, irrevocable, non-exclusive licence to use, reproduce, modify, adapt, publish, and incorporate such Feedback into our products and services without any obligation of confidentiality or compensation to you. You represent that you have the right to grant this licence and that the Feedback does not infringe any third-party rights.
The Site may contain links to third-party websites such as freight carrier tracking portals, trade directories, or certification bodies. These links are provided for convenience only. We do not control, endorse, or assume any responsibility for the content, privacy practices, or accuracy of any third-party site. Your access to and use of third-party sites is at your own risk and subject to their respective terms and privacy policies.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WINKING HOME, ITS DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SITE OR ITS CONTENT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability to you for any claim arising from or related to these Terms or your use of the Site shall not exceed USD 100 or the amount you paid to us in the three months preceding the claim, whichever is greater.
The limitations above reflect a fair allocation of risk and form an essential basis of the bargain between you and Winking Home. Some jurisdictions (including certain EU Member States, the UK, and Canadian provinces) do not permit certain limitations of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law, and nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
You agree to defend, indemnify, and hold harmless Winking Home and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party intellectual property or other rights.
We reserve the right to modify, suspend, or discontinue the Site (or any part of it) at any time without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.
We may update these Terms at any time. The "Last updated" date at the top of this page reflects the most recent revision. For material changes, we will post a prominent notice on the Site. Your continued use of the Site after the effective date of any revision constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must stop using the Site.
We may, at our sole discretion, terminate or suspend your access to the Site at any time and without notice if we reasonably believe you have violated these Terms, any applicable law, or any rights of a third party. All provisions of these Terms that by their nature should survive termination — including intellectual property, disclaimer of warranties, limitation of liability, and indemnification — shall survive.
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles.
Any dispute that cannot be resolved through good-faith negotiation shall be submitted to the Ningbo Arbitration Commission for arbitration in Ningbo, China, under its then-current arbitration rules. The arbitration shall be conducted in Chinese, and the arbitral award shall be final and binding on the parties.
Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of our intellectual property rights or breach of confidentiality obligations. EU/UK consumers and Canadian individuals may have rights under mandatory local laws that cannot be overridden by this clause; please refer to the supplemental terms below.

This supplement applies to individuals and businesses accessing the Site from the EU, EEA, or UK and is incorporated into the Terms above.
Consumer rights. If you are a consumer (an individual acting outside a trade or profession) located in the EU or UK, you may have statutory rights under applicable consumer protection legislation that cannot be excluded or limited by these Terms, including rights under the EU Consumer Rights Directive (2011/83/EU), the EU Unfair Contract Terms Directive (93/13/EEC), and equivalent UK legislation. Nothing in these Terms is intended to restrict those rights.
Online dispute resolution. If you are an EU consumer and have a complaint that cannot be resolved directly with us, you may use the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr. Our email address for ODR purposes is info@winkinghome.com.
Governing law for EU/UK consumers. Notwithstanding Section 14 above, if you are a consumer habitually resident in an EU Member State or the UK, you also retain the protection of the mandatory provisions of the law of your country of residence, and may bring proceedings in the courts of your country of residence.
Right of withdrawal. As this Site provides only B2B product information and inquiry services — and not consumer goods or digital content sold directly online — the 14-day statutory right of withdrawal under the EU Consumer Rights Directive does not apply to inquiries submitted through this Site. If a consumer purchase is ever offered through this Site, the applicable withdrawal rights will be disclosed at the point of sale.
Unfair terms. Pursuant to Council Directive 93/13/EEC, any term in these Terms that would be deemed unfair under applicable EU or UK law shall be severed or modified to the minimum extent necessary to comply with that law, and the remainder of these Terms shall continue in force.
This supplement applies to users located in California and the United States and is incorporated into the Terms above.
California residents — waiver of Civil Code § 1542. To the fullest extent permitted by law, you waive the protections of California Civil Code § 1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." If you are a California resident, you expressly waive this provision.
California residents — dispute resolution. Notwithstanding Section 14, California residents may bring claims in the courts of California for matters within the jurisdictional limits of California's small claims courts. For all other disputes, Section 14 applies.
Electronic communications. By using this Site, you consent to receiving communications from us electronically. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable US federal and state law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act).
Export compliance. You represent that you are not located in, and are not a national or resident of, any country subject to US embargo or trade sanctions, and that you are not listed on any US government list of prohibited or restricted parties. You agree to comply with all applicable US export control laws, including the Export Administration Regulations (EAR) and the regulations administered by the Office of Foreign Assets Control (OFAC).
Privacy. For California privacy rights under the CCPA/CPRA, please refer to our Privacy Policy.
This supplement applies to users located in Canada and is incorporated into the Terms above.
Consumer protection. If you are a consumer resident in a Canadian province, you may have rights under applicable provincial consumer protection legislation (including the Ontario Consumer Protection Act, the Quebec Consumer Protection Act, and equivalent provincial statutes) that cannot be waived by contract. Nothing in these Terms is intended to limit or exclude those rights to the extent prohibited by law.

Governing law for Canadian consumers. Notwithstanding Section 14, if you are a consumer resident in a Canadian province, the mandatory consumer protection laws of your province of residence may apply and you may have the right to bring a claim in the courts of your province.

Export compliance. You agree to comply with all applicable Canadian export control laws and regulations, including the Export and Import Permits Act and regulations administered by Global Affairs Canada.
